TERMS & CONDITIONS OF SALE

These Terms & Conditions of Sale ("Terms") govern your access to and use of the Prospective Official Store available at www.prospectiveofficial.com (the "Website") and all purchases made through it.
The Website, the Prospective Official Store and all official Prospective social media channels are owned and operated by Associazione Prospective, VAT No. IT14600780960, with its registered office at Via Dante 49, 20099 Sesto San Giovanni (MI), Italy ("Associazione Prospective", "Prospective", "we", "us", or "our").
By accessing the Website, placing an order, or purchasing any product or digital content through the Website, you acknowledge that you have read, understood and agree to be bound by these Terms, together with our Shipping Policy, Refund Policy and Privacy Policy, all of which form an integral part of this agreement.
If you do not agree with these Terms, please do not use the Website or place an order.
1. Definitions
For the purposes of these Terms:
Buyer, Customer, you or your means any natural or legal person purchasing products or using the Website.
Goods means any physical products offered for sale through the Website.
Digital Products means any downloadable digital content, including but not limited to audio files, videos, digital artwork, wallpapers, downloadable media or similar electronic content.
Order means any purchase request submitted through the Website.

Store means the Prospective Official Store operated through the Website.
Services means all services, features, content and functionality made available through the Website.
Business Day means any day excluding Saturdays, Sundays and public holidays observed in Italy.

- purchases made through the Store;
- the supply of Goods and Digital Products;
- payments;
- order processing;
- customer obligations;
- and all related services offered by Associazione Prospective.
Additional policies published on the Website, including our Shipping Policy, Refund Policy and Privacy Policy, form an integral part of these Terms and should be read together with them.
Nothing contained in these Terms limits any mandatory consumer rights granted under applicable consumer protection legislation.
3. Eligibility
By placing an Order through the Website, you confirm that:
- you are legally capable of entering into binding contracts;
- you are at least the age of majority in your country, state or province of residence;
- all information provided during checkout is complete, accurate and up to date.
If you place an Order on behalf of a company or other legal entity, you confirm that you are authorised to bind that entity to these Terms.

- minor variations in colour, print position, materials or packaging do not constitute defects.
All products are offered subject to availability.
We reserve the right to discontinue any product or modify product specifications without prior notice where reasonably necessary.
6. Pricing
All prices displayed on the Website are shown in the currency indicated at checkout.
Where applicable, prices include Italian VAT. Orders shipped outside the European Union may be subject to customs duties, import taxes or other governmental charges imposed by the destination country. Such charges are the sole responsibility of the customer unless expressly stated otherwise.
Shipping costs are calculated separately during checkout.
Although we make every reasonable effort to ensure pricing accuracy, typographical errors or technical inaccuracies may occasionally occur.
If an obvious pricing error is identified before an Order is accepted, we reserve the right to cancel the Order and issue a full refund where payment has already been received.
Price changes will not affect Orders that have already been accepted.
7. Placing an Order
Placing an Order through the Website constitutes an offer to purchase our products.
After placing an Order, you will receive an email acknowledging receipt of your Order. This acknowledgement does not constitute acceptance of your Order.
Acceptance of the Order occurs only when payment has been successfully authorised and we confirm that the Order has entered processing or dispatch.
All Orders remain subject to:
- payment authorisation;
- product availability;
- fraud prevention and security verification where necessary.
We reserve the right to refuse or cancel any Order where reasonably necessary, including but not limited to situations involving:
- suspected fraud or unauthorised payment;
- pricing or technical errors;
- product unavailability;
- incomplete or inaccurate customer information;
- circumstances beyond our reasonable control.
Where an Order is cancelled after payment has been received, any amounts paid will be refunded using the original payment method.
8. Payments
Payment must be completed in full before any Order is processed or dispatched.
Payments are processed through secure third-party payment providers. We do not store complete payment card information on our own systems.
By submitting payment information, you confirm that you are authorised to use the selected payment method.
Where payment authorisation fails or is declined, the Order will not be accepted.
We reserve the right to perform reasonable anti-fraud verification checks where necessary to protect both our customers and Associazione Prospective.
9. Shipping & Delivery
Orders are processed and shipped in accordance with our Shipping Policy, which forms an integral part of these Terms.
Estimated delivery times are provided for guidance only and are not guaranteed unless expressly stated otherwise.
Once an Order has been handed over to the shipping carrier, responsibility for transportation rests with the carrier. While we will always do our best to assist customers in tracking shipments or resolving delivery issues, we cannot be held responsible for delays caused by shipping carriers, customs authorities, weather conditions, strikes, force majeure events or other circumstances beyond our reasonable control.
Customers are solely responsible for providing complete and accurate shipping information at checkout.

10. Pre-Orders & Limited Releases
Certain products may be offered as pre-orders or pre-sales.
Where applicable, the estimated Shipping Start Date will be displayed on the relevant product page.
Shipping dates for pre-order items are estimates only and may change due to manufacturing delays, supplier issues or circumstances beyond our reasonable control.
If an Order contains both in-stock and pre-order items, the entire Order will normally be dispatched once all products become available, unless otherwise stated on the Website.
Some products may be released in limited quantities.
Due to the limited nature of these products, availability cannot be guaranteed until an Order has been accepted and payment has been successfully authorised.
We reserve the right to limit quantities purchased per customer where reasonably necessary.
11. Digital Products
Digital Products are supplied electronically immediately after purchase or as otherwise described on the relevant product page.
By purchasing Digital Products that are supplied immediately, you expressly request immediate performance of the contract and acknowledge that, where permitted by applicable law, you lose any statutory right of withdrawal once the download or supply has commenced.
Digital Products are licensed for personal, non-commercial use only and may not be copied, redistributed, shared, sold or otherwise exploited without our prior written consent.
12. Returns & Refunds
Returns, cancellations, refunds and the statutory right of withdrawal are governed by our Refund Policy, which forms an integral part of these Terms.
Customers are encouraged to read the Refund Policy carefully before placing an Order.
Nothing contained in these Terms limits any mandatory rights granted to consumers under applicable law.
13. Customer Responsibilities
Customers agree to:
- provide accurate, complete and current information when placing an Order;
- ensure that payment information is valid and authorised;
- monitor communications relating to their Order;
- promptly respond where additional information is reasonably requested;
- comply with all applicable laws relating to the purchase, importation and use of the Goods.
Customers are responsible for checking tracking updates provided by the shipping carrier where tracking services are available.
Where delivery cannot be completed because of inaccurate address information, refusal of delivery, failure to collect the parcel, failure to arrange redelivery, or failure to respond to carrier notifications, the Order will be managed in accordance with our Shipping Policy.
14. Electronic Communications
By placing an Order or contacting us electronically, you agree to receive communications from us by email.
Order confirmations, shipping notifications, customer service communications, refund notifications and other notices relating to your Order may be sent electronically.
Customers are responsible for ensuring that the email address provided during checkout remains valid and accessible.
A communication sent to the email address provided by the customer shall be deemed delivered unless we receive notice that the email could not be delivered due to a technical error attributable to us.
Failure to read or respond to communications sent to the email address provided by the customer does not affect the validity of such communications.
15. Fraud Prevention
To protect both our customers and Associazione Prospective, we reserve the right to perform reasonable verification checks before accepting or dispatching an Order.
Where fraud, unauthorised payment activity or other suspicious circumstances are reasonably suspected, we may:
- request additional information;
- temporarily suspend processing of the Order;
- refuse or cancel the Order;
- issue a full refund where appropriate.
We reserve the right to refuse future Orders from customers who have engaged in fraudulent activity or repeatedly abused our policies.
16. Chargebacks
If you experience any issue with your Order, we encourage you to contact us before initiating a payment dispute or chargeback.
We are committed to resolving genuine customer concerns quickly and fairly.
Where a chargeback is initiated despite evidence that an Order was properly processed, shipped or otherwise fulfilled in accordance with these Terms, we reserve the right to provide payment providers with all relevant documentation, including order records, shipment tracking, delivery attempts, customer communications and any other evidence reasonably necessary to defend the transaction.
Nothing in this section limits any statutory rights available to consumers under applicable law.
17. Intellectual Property
Unless otherwise stated, all content available on the Website is the exclusive property of Associazione Prospective or is used under valid licence.
This includes, without limitation:
- the Prospective name and logos;
- trademarks, branding and trade dress;
- album artwork and cover art;
- product designs and graphics;
- photographs, videos and promotional material;
- music, lyrics and recordings;
- website design, text, images and downloadable content;
- all other intellectual property displayed on the Website.
Nothing contained on the Website grants any licence or right to use any intellectual property without our prior written consent.
No content may be copied, reproduced, distributed, modified, republished or commercially exploited without our prior written permission, except where permitted by applicable law.
18. Third-Party Services
The Website may contain links to, or integrate services provided by, third parties, including payment providers, shipping carriers and social media platforms.
We are not responsible for the availability, content, security or privacy practices of third-party websites or services.
Your use of third-party services is governed by their respective terms and privacy policies.
19. Disclaimer
We make every reasonable effort to ensure that the Website, its content and the products offered are accurate and up to date.

To the fullest extent permitted by applicable law, Associazione Prospective shall not be liable for indirect, incidental, consequential or special damages arising from the use of the Website or the purchase of Goods or Digital Products.
Our total liability arising out of any Order shall not exceed the total amount actually paid by the customer for that Order.
Nothing contained in these Terms excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- any liability that cannot legally be excluded or limited under applicable law.
21. Force Majeure
We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control.
Such events include, without limitation:
- natural disasters;
- war or terrorism;
- civil unrest;
- epidemics or pandemics;
- governmental actions;
- customs delays;
- strikes or labour disputes;
- failures of transportation or logistics providers;
- internet or telecommunications failures;
- shortages of raw materials;
- supplier failures;
- any other event beyond our reasonable control.
Where such circumstances occur, our obligations shall be suspended for the duration of the event.
22. Governing Law
These Terms and any dispute arising out of or relating to them shall be governed by and interpreted in accordance with the laws of Italy.
Where permitted by applicable law, the courts of Milan, Italy shall have exclusive jurisdiction over any dispute arising from these Terms.
Nothing contained in these Terms affects any mandatory consumer rights or jurisdiction granted by applicable consumer protection legislation.
23. Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in full force and effect.
24. Entire Agreement
These Terms, together with our Shipping Policy, Refund Policy and Privacy Policy, constitute the entire agreement between the customer and Associazione Prospective concerning purchases made through the Website.
They supersede all previous agreements, communications and understandings relating to the same subject matter.
25. Changes to these Terms
We reserve the right to amend these Terms from time to time.
Any changes will become effective upon publication on the Website unless otherwise required by applicable law.
The version in force at the time an Order is placed will govern that Order.
